Terms of Service

By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated here by reference. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Baader is a performance marketing and AI systems agency. Through the Site we provide marketing information about our work, a library of free resources and downloadable skills, an email newsletter, and forms you can use to contact us or request our services. We may add, change, or remove features at any time.

The Services are intended for businesses and professionals. You must be at least 16 years old (and old enough to form a binding contract in your jurisdiction) to use the Services. By using the Services you represent that you meet these requirements.

You agree not to use the Services to:

• violate any applicable law or regulation, or infringe the rights of others;
• upload or transmit anything unlawful, harmful, deceptive, or abusive;
• attempt to gain unauthorized access to the Site, its systems, or other users’ data;
• interfere with, disrupt, or place undue load on the Services or their infrastructure;
• scrape, harvest, or collect data from the Site except as expressly permitted; or
• misrepresent your identity or affiliation, or submit spam through our forms.

Browsing the Site does not require an account. If we offer accounts or member areas in the future, you are responsible for the accuracy of your registration information, for keeping your credentials secure, and for all activity under your account, and additional terms presented at sign-up will apply.

We make certain resources, guides, templates, and skills available to download at no charge. Many of these resources — including skills mirrored from open-source repositories — are owned by third parties and are provided to you subject to their own licenses. You are responsible for reviewing and complying with any license that accompanies a downloaded resource.

All resources are provided “as is” for your convenience. You are responsible for evaluating their suitability, security, and accuracy before relying on them, and you use them at your own risk.

The Site and its original content, design, branding, text, graphics, and functionality — excluding third-party resources noted above — are owned by Baader and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own internal, non-commercial evaluation, except where we expressly authorize other use. You may not copy, resell, or redistribute our proprietary content without our written permission.

When you submit information through a form or otherwise send us content, you retain ownership of it. You grant us a non-exclusive, worldwide, royalty-free license to use that content as needed to respond to you and provide the Services, and you represent that you have the right to share it and that it does not violate any law or third-party right. We handle personal information as described in our Privacy Policy.

Some products or services may be offered for a fee. Where they are, the specific price, billing terms, and any refund or cancellation policy will be presented to you at the point of purchase and form part of these Terms for that transaction. Unless stated otherwise or required by law, fees are non-refundable, and you are responsible for any applicable taxes. We may change our prices on a going-forward basis with reasonable notice.

The Services may link to or rely on third-party websites, tools, or services that we do not control. We are not responsible for their content, availability, or practices, and your use of them is governed by their own terms and policies.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Baader disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any content or resource is accurate or reliable. Nothing on the Site is legal, financial, tax, medical, or other professional advice.

To the fullest extent permitted by law, Baader and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim, or one hundred U.S. dollars (US$100).

You agree to indemnify and hold harmless Baader and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms or any law or third-party right.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services, our users, or others. You may stop using the Services at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in California.

We may update these Terms from time to time. When we do, we will revise the “Effective” date above and post the updated Terms on this page. Your continued use of the Services after a change takes effect means you accept the revised Terms.
